Terms of Service

1. Acceptance of Terms

By accessing or using CloNet (the "Platform"), operated by DMC99 LLC, you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.

2. About CloNet and the Parties to a Transaction

CloNet is a managed marketplace operated by DMC99 LLC that connects buyers with independent sellers of pre-owned fashion. The independent seller identified on each listing is the seller of the item and remains responsible for lawful ownership, authenticity, condition, listing accuracy, and the right to sell the item.

DMC99 LLC operates CloNet, acts as a marketplace facilitator, and is the merchant of record for payments processed through the Platform. DMC99 LLC collects and reconciles buyer payments, administers orders and Buyer Protection, issues refunds owed under these Terms, coordinates QC and authentication, and arranges international fulfillment.

DMC99 LLC does not manufacture the listed items, is not their original retailer, and is not affiliated with the brands whose goods are resold unless expressly stated. Nothing in this Section limits an obligation DMC99 LLC expressly assumes under these Terms or applicable law.

3. Account Registration

You may browse without an account but must create one to purchase or submit offers. You must be at least 18 years old, provide accurate information, and keep your credentials confidential.

4. Buying on CloNet

A buyer may submit an offer, and the independent seller may accept, counter, or decline it through CloNet. An order is formed only when the buyer completes payment and DMC99 LLC issues an order confirmation. All listed prices are in USD and include international shipping; service and payment processing fees are displayed before payment.

Orders are subject to availability, QC, and authentication. If an item is unavailable, the seller cannot supply it, it fails QC or authentication, or CloNet cannot fulfill the order, DMC99 LLC will cancel it and refund all amounts paid for that order. If CloNet cannot ship within the stated time, the buyer may consent to the delay or cancel for a full refund, as required by applicable law.

5. Selling and Listing Content

Sellers are curated. In the current phase, sellers or their authorized representatives provide item information and authorize CloNet to create, translate, edit, publish, and manage listings on their behalf. In future phases, sellers may upload listing content directly.

Sellers represent that they own, control, or have permission to use all product photos, videos, descriptions, measurements, prices, seller identifiers, and other listing materials they provide or authorize, and that those materials do not infringe any third-party rights.

Sellers grant DMC99 LLC and CloNet a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to use listing content for Platform operations, item pages, seller pages, search, ads, Google Merchant Center feeds, SEO pages, email, social media, customer support, fraud prevention, QC, transaction records, and legal compliance.

Each seller appoints DMC99 LLC as a limited marketplace and transaction-administration agent to manage listings and offers, collect buyer payments as merchant of record, coordinate QC and authentication, administer cancellations and refunds, and arrange fulfillment. The independent seller remains responsible for title, authenticity, condition, listing accuracy, and the right to sell. Sellers authorize DMC99 LLC to cancel orders, issue refunds, and withhold, offset, or recover payouts when reasonably necessary for Buyer Protection, payment disputes, fraud prevention, or a seller breach.

6. Quality Check and Authentication

Every item undergoes in-house QC and authentication at CloNet's warehouse before shipping to the buyer, conducted in good faith using industry-standard methods.

7. Payments and Fees

CloNet Membership is a free, automatic benefit that discounts only the Buyer Protection Fee, not the entire order. Eligibility, tiers, refunds and programme changes are governed by the CloNet Membership rules, which form part of these Terms. Membership does not reduce Buyer Protection coverage or statutory consumer rights.

DMC99 LLC is the merchant of record for payments processed through the Platform and may appear as "DMC99 LLC" or "CloNet" on payment confirmations or account statements. Supported third-party processors, such as PayPal or Stripe, process payment data. All charges are disclosed before authorization, and CloNet does not store credit card information.

DMC99 LLC, rather than the independent seller, administers and issues refunds owed under these Terms. Nothing in these Terms waives a non-waivable protection or dispute right provided by law, the buyer's card issuer, or the applicable payment processor.

8. Shipping and Delivery

All orders include free international shipping from CloNet's warehouse with tracking. Buyers may be subject to customs duties and import taxes, which are the buyer's responsibility. For orders above $750 USD, signature confirmation is required.

9. Refunds, Returns, and Buyer Protection

Buyers receive a full refund if an item is unavailable or cannot be supplied, fails authentication or QC, is materially not as described, cannot be fulfilled or shipped without an unaccepted delay, or is confirmed lost in transit. A full refund includes all amounts paid for the affected order. Completed transactions remain final once the item passes QC and is delivered as described; change of mind is not a valid reason for a refund.

The buyer does not need to pursue the independent seller. DMC99 LLC administers the buyer-facing refund, and seller recovery will not delay a refund owed to the buyer. Eligibility is determined reasonably and in good faith, without limiting non-waivable consumer, card-issuer, or payment- processor rights. See our Return & Refund Policy.

10. Prohibited Conduct

You agree not to list counterfeit or stolen items, provide false information, circumvent CloNet's transaction process, commit fraud, file fraudulent chargebacks, provide infringing content, misuse brand names or logos, or scrape Platform content without permission.

11. Intellectual Property

CloNet brand assets are owned by DMC99 LLC, CloNet, or their licensors. Brand and designer names may appear to identify pre-owned goods being resold; unless expressly stated, CloNet is not affiliated with, sponsored by, endorsed by, or authorized by those brands.

12. Limitation of Liability

The Platform is provided "as is." Except for liabilities that cannot lawfully be limited and the payment, refund, Buyer Protection, QC, and fulfillment obligations DMC99 LLC expressly assumes, CloNet's total liability for any claim shall not exceed the greater of the service fees paid in the 12 months preceding the claim or USD $100.

CloNet is not responsible for independent third-party acts except to the extent DMC99 LLC expressly assumes a related obligation under these Terms. Nothing excludes or limits liability that cannot be excluded by law, including liability for fraud, willful misconduct, or a legally required refund or consumer-protection remedy.

13. Dispute Resolution & Governing Law

Disputes are first addressed through our support team; unresolved disputes are settled by binding arbitration in the State of Illinois. These Terms are governed by the laws of the State of Illinois, USA.
